The annual general meeting approved the management report, VZ Holding Ltd's annual financial statements and the consolidated financial statements as well as the report on non-financial matters for the 2025 financial year and discharged the members of the Board of Directors and the Executive Board. The dividend of 2.95 Swiss francs per registered share was approved and will be paid out on 2 April 2026.
For a further one-year term of office, Matthias Reinhart was confirmed as Chairman of the Board of Directors, while Henriette Wendt, Nadia Tarolli Schmidt, Olivier de Perregaux, Roland Iff and Roland Ledergerber were re-elected as Board members. Albrecht Langhart did not stand for re-election. Henriette Wendt, Matthias Reinhart and Roland Ledergerber will continue to serve on the Compensation Committee for another year.
In line with the Board of Directors' recommendation, the Law Office Keller Ltd was re-elected as independent proxy and PricewaterhouseCoopers Ltd as auditors. In addition, the general meeting approved the maximum compensation of the Board of Directors for the 2026/27 term of office, the maximum fixed compensation of the Executive Board for the 2026 financial year and its variable compensation for the 2025 financial year.
