Sumitomo Forestry Co., Ltd. (hereinafter, "Sumitomo Forestry") has announced the acquisition of Tri Pointe Homes, Inc. (hereinafter, "TPH") through "Notice Regarding the Acquisition of Shares (Subsidiarization) of Tri Pointe Homes, Inc. and the Change of a Specified Subsidiary" on February 13, 2026. As an update to the notice, Sumitomo Forestry hereby informs that the company proposal necessary to consummate the acquisition was approved at TPH's special meeting of stockholders on April 16, 2026 (U.S. Time).

The completion of the acquisition is subject to the receipt of approvals from relevant authorities and to the fulfillment of other conditions set forth in the merger agreement. Notification will be released swiftly once the acquisition is consummated.

Sumitomo Forestry is currently assessing the impact of the acquisition on its consolidated financial results and will swiftly issue a notice of any matters subject to disclosure as they arise.
