Pursuant to article 31.2 of the Rules of the Organisation of the OBG Holders and to Condition 17 of the Terms and Conditions of the OBG, notice is hereby given that on 2 April 2026 UniCredit S.p.A., UniCredit OBG S.r.l. and the other parties to, respectively, the Warranty and Indemnity Agreement, the Master Definition Agreement and the Portfolio Administration Agreement entered into an amendment agreement to the Warranty and Indemnity Agreement, an amendment agreement to the Master Definition Agreement and an amendment agreement to the Portfolio Administration Agreement (the "Amendment Agreements ").
The Amendment Agreements have been entered into in order to incorporate in the Programme the amendments necessary to reflect the provisions on valuation of immovable properties of "Regulation (EU) 2024/1623 of the European Parliament and of the Council of 31 May 2024 amending Regulation (EU) No 575/2013 as regards requirements for credit risk, credit valuation adjustment risk, operational risk, market risk and the output floor", which has been implemented by the Bank of Italy in the BoI OBG Regulations through the 50th update to the BoI Regulations published on 27 August 2025.
Copies of the Amendment Agreements described above are available for inspection by OBG Holders during normal business hours at the registered office of the Representative of the OBG Holders from time to time.
Unless otherwise defined herein, capitalised terms shall have the same meaning given to them in the Terms and Conditions of the OBG.
