(TSXV: TBIX) ("TrustBIX" or the "Company") is pleased to announce that, further to its press releases dated February 24, 2026 and April 17, 2026, it has received final acceptance from the TSX Venture Exchange (the "TSXV") in connection with the acquisition of 100% of the issued and outstanding shares of Zen Cyber Ltd. ("Zen Cyber") (the "Transaction"). Zen Cyber is a cybersecurity consulting company focused on working with businesses to ensure their processes meet with privacy and cybersecurity best practices and compliance (https://zencyber.ca/). Pursuant to the terms of the definitive share purchase agreement, TrustBIX acquired 100% of the issued and outstanding shares of Zen Cyber for aggregate consideration of up to 6,250,000 consideration units (the "Consideration Units") at a deemed price of $0.02 per Consideration Unit. Each Consideration Unit consists of one common share of the Company (a "Common Share") and one common share purchase warrant (a "Warrant"), with each Warrant entitling the holder to acquire one additional Common Share at an exercise price of $0.08 for a period of two years from the date of issuance.
