This is in continuation of our earlier announcements dated April 20, 2026, regarding the public offer for the acquisition of voting shares in, and control of TPL Insurance Limited (the "Company") by Jazz International Holding Limited (the "Acquirer").

Pursuant to Regulation 5.5.11 of the Rule Book of the Pakistan Stock Exchange Limited (PSX), we hereby notify that the Share Transfer Books of the Company will be closed from May 28, 2026 to June 03, 2026 (both days inclusive), for the purpose of determining the eligibility of persons entitled to receive the offer letter in accordance with Regulation 9 of the Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations, 2017.

Transfers received at M/s THK Associates (Pvt.) Limited, having its office at Plot No. 32-C, Jami Commercial Street 2, D.H.A., Phase VII, Karachi-75500, Pakistan, by the close of business on May 27, 2026, will be treated as timely for the purpose of determining the above eligibility of transferees.
