TOSOH CORPORATION - Notice Regarding Establishment of Subsidiary and Change to Specified Subsidiary

Tokyo, Japan-At the Board of Directors meeting held on September 26, 2023, Tosoh Corporation (below 'the Company') resolved to establish Tosoh Vietnam Polyurethane Co., Ltd (below 'the Vietnamese subsidiary') in Vietnam, and subsequently completed its establishment on April 4, 2024.
The share capital of the Vietnamese subsidiary is more than 10% of the share capital of the Company, qualifying it as a specified subsidiary of the Company.
The Company has determined that, although the Vietnamese subsidiary qualified as a specified subsidiary, the required disclosure under the listing regulations concerning changes in subsidiaries was not made. An apology is extended for this oversight, and although the disclosure is being made retrospectively, the following information is provided regarding the change in subsidiary status. Since the Vietnamese subsidiary was established in April 2024, there are only financial statements for the fiscal year ending December 2024. The facility for the separation and purification of MDI intermediate materials are under construction, and the operation of this facility is scheduled for spring 2027.
