Invitation for a general bondholders meeting

Ever Financial AD, in the capacity of a trustee of the holders of bonds issued by Toplofikacia Pleven AD (TPZB), ISIN BG2100020176, appointed a General Meeting of Bondholders on 02 September 2026 at 1:00 pm in the town of Pleven at 128 East Industrial Zone St. under the following agenda:
- Adoption of a decision to change the terms of the bond as follows:
1. Extension of the term of the issue by 60 months;
2. The maturity date is amended, so the principal amount will be paid off at once on 17 November 2031;
3. The interest rate for the extended period is fixed to 4.10% per annum;
4. Adoption of a new repayment schedule for the extended period of the bond loan as detailed in the GMB invitation;
5. All other parameters of the corporate bond issue remain unchanged.
- In the lack of quorum, the GMB will be held on 17 September 2026 - same place and agenda.
The right to participate in the General Meeting of Bondholders will be entitled to all holders of bonds, registered with the central securities register five (5) days before the GMB date (Record Date).
