Revision Made to Reported Results for FY2025 - No Changes to Takeda's Core Financial Results for FY2025 No Changes to FY2026 Forecast and Management Guidance Takeda Will Vigorously Pursue Post-trial Motions and an Appeal OSAKA, Japan, June 5, 2026 - Takeda ( TSE:4502/NYSE:TAK ) today announced that it has filed a revised Earnings Report , which reflects the impact of the jury verdict in the AMITIZA® (lubiprostone) antitrust litigation in the U.S. on its consolidated financial statements for fiscal year 2025, which ended March 31, 2026. Following the jury verdict, Takeda has been assessing its impact on the consolidated financial statements for FY2025. In the revised Earnings Report filed today, Takeda recorded an additional provision for legal proceedings of JPY 402.5 billion and recognized related tax benefits of JPY 58.4 billion in the consolidated financial statements for FY2025. This revision has no impact on Takeda's Core financial results for FY2025. There are no changes to the FY2026 financial forecast or Management Guidance, including the forecast for adjusted free cash flow. The year-end dividend for FY2025 remains unchanged at JPY 100 per share. The annual dividend forecast for FY2026 remains unchanged at JPY 204 per share. Takeda Chief Financial Officer, Milano Furuta, commented: "While the recent U.S. jury verdict has led to the recognition of provisions for legal proceedings in our FY2025 reported earnings, we will appeal. This matter doesn't change our fundamental business momentum nor our guidance for FY2026. The amount of any liability from the AMITIZA® antitrust litigation that may ultimately be imposed on Takeda has not yet been finalized. Takeda will vigorously pursue post-trial motions and an appeal and will seek a stay of execution of the judgment during the pendency of the appeal. Takeda does not expect its FY2026 financial forecast or Management Guidance to be materially impacted by the proceedings of this litigation. Takeda will continue to assess the progress and financial impacts of the litigation, in light of the district court judgment expected through the second half of the calendar year 2026 and further proceedings thereafter, and provide an update as necessary.
