T-MINES opens to mining operators

TMINES.COM is live and accepting project submissions. Mining companies can now put a concession, a producing mine, or future production through structured onboarding and independent verification, and raise against it on a compliance-first rail. The Company’s initial focus is the Colombian mining sector.

Pineapple Express Cannabis Company (OTC Pink: PNXP), doing business as T-MINES™, today announced that its tokenization platform at TMINES.COM is open and accepting project submissions from mining operators worldwide.

The platform exists to address a specific gap. Compliant, institutional-grade financing for sub-hundred-million-dollar mineral projects is scarce: equity markets underserve them, and most tokenization has proceeded without securities compliance rather than with it. T-MINES is built the other way round, with securities law, independent custody, and on-chain settlement in the foundation.

Initial focus: Colombia

The Company’s initial focus is the Colombian mining sector. Its Operational Offices are in Medellín, and origination and technical work in the region is conducted from there — operator relationships, site and title diligence, collateral verification, and coordination with in-country counsel and technical consultants.

Colombia combines an established mineral endowment with a formal concession and registry system, which matters for instruments whose security depends on verifiable title. Concession status, registry records, and permitting are source documents in the KYM review rather than representations by the operator.

The platform is built for global coverage and accepts submissions from operators in any jurisdiction. Colombia is where the Company is concentrating origination first, not the limit of what the rail supports.

What an operator submits

Onboarding assembles the corporate, regulatory, and technical record an institution would underwrite. Seven document sets are required — corporate, principals, beneficial owners, offering, project, tenure, and technical. Files are encrypted and shared only with the assigned review team. Applications are reviewed within two business days.

Know Your Mine

Before any instrument is approved for minting, the mine itself is verified. KYM is the issuer-side diligence stack — the mining analogue to investor KYC — covering title and concession status, geology, operators, permitting, offtake, and custody. Each project is scored against standardised criteria, and every project on the platform has cleared it.

For each asset minted, the platform publishes the underlying legal and mining record: concession and title documentation, permitting and registry status, collateral and custody documentation, and technical data including the geographic coordinates of the mine. Verified investors see primary-source material rather than a summary of it.

What a project can be tokenized as

TMCT

TM Claim Tokens

Senior secured note tokens backed by first-priority UCC Article 9 liens, an independent collateral agent, and bankruptcy-remote special purpose vehicles.

TMVT

TM Vault Tokens

Title-bearing tokens representing 1:1 allocated physical metal or individually graded stones in accredited third-party custody.

TMFT

TM Float Tokens

1:1 share-backed wrappers on mining company equity with full dividend pass-through and instruction-based voting.

Coverage spans gold, silver, copper, platinum, nickel, lithium, niobium, diamonds, emeralds and other precious stones, and rare earth elements. Economic terms for any particular offering are set solely in that offering’s documents and are not described in public materials.

How the rail works

All instruments issue on TM Protocol, a permissioned EVM rail built on the ERC-3643 (T-REX) standard with on-chain identity (ONCHAINID) and modular compliance. Eligibility and transfer restrictions are enforced by the smart contract at the moment of transfer: a transfer to an unverified wallet, or to a holder who does not satisfy the rules encoded for that instrument, does not execute. Individually graded stones use the semi-fungible ERC-3525 standard under a strict one-stone-per-slot discipline, so unique per-parcel title is preserved on-chain.

Tokenized securities on the platform are digital securities by operation of law under the Wyoming Digital Assets Act, Wyo. Stat. §§ 34-29-101 et seq. Primary offerings are conducted under Regulation D Rule 506(c) and Regulation S. Securities so acquired are restricted securities, and secondary transfers are contemplated following the applicable Rule 144 holding period through registered alternative trading systems and broker-dealer venues. The register of ownership is maintained by an SEC-registered transfer agent under Exchange Act Section 17A.

Investor access

Prospective investors complete identity and wallet-risk screening, and accredited-investor verification where an offering is made under Rule 506(c), or non-U.S. person certification under Regulation S, before any offering documents are made available. The platform does not make offers; any offer is made solely through the offering documents for that instrument.

About Pineapple Express Cannabis Company

Pineapple Express Cannabis Company, doing business as T-MINES™, is a Nevada corporation building a vertically integrated tokenized mineral finance platform connecting global mining operators, verified investors, and traders on a single compliance-first rail. The Company’s Corporate Offices are in Atlanta, Georgia and its Operational Offices in Medellín, Colombia, from which its initial focus on the Colombian mining sector is conducted. The Company is not a mining operator and does not conduct extraction; where a financing is issued on the platform, mineral title and other mine assets are pledged as collateral security for the benefit of instrument holders, held by an independent collateral agent or through a bankruptcy-remote special purpose vehicle formed for that financing.

The Company has not generated revenue from the platform. Its public-company record, including its financial position and disclosure history, is set out at tmines.com and at otcmarkets.com/stock/PNXP. The Company does not represent that any regulator has approved, endorsed, or passed upon its instruments, its platform, or the merits of any offering. An application to the Financial Industry Regulatory Authority for a change of the Company’s name and trading symbol is pending.
