12 April 2024 Phoenix Group Holdings plc Supplemental Circular Phoenix Group Holdings plc (the 'Company') has today distributed to shareholders a Supplemental Circular to the 2024 Notice of Annual General Meeting ('AGM'). As detailed in the Notice of AGM, KPMG LLP will be appointed as Auditor of the Company commencing with the period starting from 1 January 2024, subject to shareholder approval at the AGM. On page seven of the Notice of AGM, we informed shareholders that the outgoing Auditor would provide the Company with a Statement of Reasons, which sets out the reasons for their resignation, as required under s.519 of the Companies Act 2006. The Statement of Reasons, signed by Ernst & Young LLP, has today been circulated to shareholders and are available on the Company's website at www.thephoenixgroup.com . All other matters of business in the original Notice of AGM remain valid and have not changed. In accordance with Listing Rule 9.6.1, a copy of will be submitted to the UK Listing Authority via the National Storage Mechanism and will shortly be available for inspection for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism Copies of the 2023 Annual Report and Accounts and the 2024 Notice of AGM are also available on the Company's website at www.thephoenixgroup.com 2024 Annual General Meeting The Company's 2024 Annual General Meeting will be held at Floor 22, Freshfields Bruckhaus Deringer LLP, 100 Bishopsgate, London, EC2P 2SR on Tuesday 14 May 2024 at 10am.
