The purpose of the Special Meeting is to ask shareholders to authorise the Company to communicate with shareholders electronically, including making available the Company's annual report and accounts and half-yearly report available on its website. The circular (the " Circular ") which gives the background and reasons for the Special Meeting and which contains the notice convening the Special Meeting can be found on the Company's website here: https://investors.devolverdigital.com/ . As stated in the Circular, in order to facilitate attendance at the Special Meeting, the Company will be permitting shareholders to attend virtually by video conference, as is permitted by the Company's Bylaws and the General Corporation Law of the State of Delaware.
