As regards the recent publicly available information related to the potential purchase of liquified

natural gas (LNG), Societatea Națională de Gaze Naturale ROMGAZ SA ("ROMGAZ") makes the following

statements, with a view to providing the public with accurate and comprehensive information.

To avoid any misunderstanding that might occur due to certain publicly available information related to the

purchase of LNG by ROMGAZ, we state that no official representative of the Romanian State exerted any

pressure to determine ROMGAZ management to conclude a gas purchase or sale contract, regardless of the

source (therefore including LNG).

ROMGAZ is a company listed on the capital market and performs its activity in compliance with the legal framework and corporate governance rules applicable to listed companies. The quality of the Romanian State as majority shareholder does not remove or alter the company's obligation to comply with these rules, with corporate decision-making mechanisms, with rights of all shareholders and obligations to inform, applicable to a listed company.

Analysis of trading opportunities and making potential decisions to purchase belong exclusively to ROMGAZ corporate decision-making mechanisms and these are made based on economic, commercial, and strategic criteria applicable to the company.

Any decision regarding the performance of a commercial transaction is based on criteria of economic, commercial, and strategic feasibility, considering market conditions, the associated risks, the company's needs and its development objectives, whilst complying with the applicable corporate governance mechanisms and approval procedures.

ROMGAZ will continue to analyse opportunities existing on the natural gas market, including LNG, solely in relation to the company's interest and relevant economic, commercial, and strategic criteria. Any information that, according to the laws applicable to a listed company, is subject to a reporting obligation, will be communicated transparently, through official channels and under the conditions provided by applicable legislation.

SNGN ROMGAZ SA is the largest gas producer and main supplier in Romania. The Company is admitted to trading on the Bucharest Stock Exchange (BVB). Main shareholder is the Romanian State with a 70% stake.
