Siemens clarifies timeline for spin-off of Siemens Healthineers shares
- Siemens prepares the decision about the spin-off of Siemens Healthineers shares for Siemens Annual General Meeting in February 2027
- Siemens AG shareholders to receive Siemens Healthineers AG shares directly as part of the planned spin-off
Siemens plans a shareholder vote on direct spin-off of Siemens Healthineers shares at the next ordinary Siemens Annual General Meeting in February 2027. The announcement follows substantial progress in the preparation of the unprecedented transaction structure since it was first outlined in November 2025 and provides Siemens' shareholders with clarity on the next key milestone.
The separation process is advanced as well as the regulatory clarification process, while final confirmation on the latter is outstanding. Based on the status, Siemens prepares for a spin-off under the German Transformation Act (Umwandlungsgesetz) under which Siemens AG shareholders will receive Siemens Healthineers AG shares directly. Siemens believes this approach best preserves value for shareholders of both companies.
Siemens and Siemens Healthineers have made substantial progress in preparing the planned direct spin-off. This includes preparation of the transaction as well as reviewing all key contractual relationships.
