Shine Announces Unsecured Loans

· Issued by Shine Minerals Corp via TheNewswire

Summary by 6ix AI

Shine Minerals Corp., a Canadian junior resource company, said on October 28, 2026 that it has entered into agreements under which two private companies will lend it money through unsecured promissory notes of C$205,000 each. One lender is wholly owned by President and CEO Ross McElroy and the other by Executive Chairman Dev Randhawa.

Key details

  • Shine says it will use the loan proceeds to make an option payment for its previously announced proposed transaction with Red Cloud Silver Ltd. That transaction is under a definitive option agreement dated December 23, 2025, amended on March 24, 2026.
  • The loans carry annual interest of 10%, payable at Shine's discretion. Payments of principal and accrued interest are deferred and can be repaid at Shine's discretion, in whole or in part, at any time.
  • The loans cannot be converted into shares or repaid in shares.
  • Because the lenders are owned by company insiders, the loans count as a related party transaction under Canadian securities rule MI 61-101, which protects minority shareholders. Shine says the loans are exempt from that rule's minority shareholder approval and formal valuation requirements.
  • Shine says the loan terms are no less favourable to it than terms from an independent lender would be.

What’s still pending

  • The proposed transaction with Red Cloud Silver Ltd. still needs approval from the TSX Venture Exchange.
