Powerdyne International Inc.

A letter to the Shareholders update.

9/22/2026

Dear Shareholders,

We wanted to thank all our Shareholders for their patience and perseverance while Powerdyne International, Inc. (the “Company”, “Powerdyne”, “us”, “we”) works to grow the company for the future.

Since transitioning to the OTCIQ market, Powerdyne has seen a notable increase in market maker participation and volume.  The company  still remains committed to eventually uplisting PDI to the OTCQB Market.

CM Technology, after a slower first half of the year driven by geopolitical tensions, and some parts shortages, we have begun to see increases in orders. Historically, periods of slower sales have been followed by multiple years of consistent growth. We received and fulfilled a purchase order for the first prototype motors, which have been built and shipped to a new customer. We expect another purchase order for a second approved prototype motor within the next few weeks, along with additional requests and orders for existing and new prototype motors from this customer next year. Orders from our current customers also continue to increase. One overseas customer requested new prototype motors, which have been built and shipped, and we are awaiting purchase orders for these new motors in addition to those we already supply them with. The company has also received new orders from several independent resellers and is working to increase the size and frequency of those orders. Given this growth and  some newly updated processes and technology improvements, we believe the company could surpass last year’s revenues.

Frame One, we have continued to see steady month-over-month progress since beginning of the year.  We are also continuing to expand our online presence across more social media platforms, which we believe will help drive sales growth and further strengthen our existing client base.

With the effective Form S-1 registration with GHS, the company has not yet drawn any proceeds under the arrangement. Any proceeds received from it will be allocated toward reducing outstanding debt,  strengthening and building the company’s cash reserves, positioning the company to pursue any potential growth opportunities that may arise. When the company intends to access such funding, the company will do it as prudently as possible.

The company continues to broaden its customer base and pursue opportunities across the medical, automotive, and food-processing sectors, with encouraging early results. Our agreement with an external sales group has already secured a significant purchase order, and we believe with the successful fulfillment of this initial order it will create opportunities for additional business.

As artificial intelligence continues to grow and investment in U.S. manufacturing increases, we are preparing for greater demand for CM Tech’s custom-designed motors. While CM Tech does not currently serve the AI market directly, its motors are used by semiconductor equipment manufacturers that build and maintain automated systems for producing silicon wafers used in microprocessor chips. These chips support AI applications as well as smart televisions, mobile phones, computers, and many other smart devices used today.

This update provides shareholders with a brief overview of Powerdyne’s plans for the remainder of 2026 and beyond. Our strategy remains focused on steady, conservative growth, disciplined cost management during organic expansion, and pursuing opportunities with companies that complement Powerdyne’s business model. We sincerely appreciate the continued support of our shareholders. Our primary goal is to create lasting value and strong returns through continued growth and profitability.

Yours Sincerely

Tony Carhide

President
