Duke Capital Limited has approved the grant of 4,589,000 conditional performance share awards under its Long-Term Incentive Plan, with 1,222,000 awarded to Neil Johnson and 1,222,000 to Charlie Cannon Brookes, subject to total shareholder return, cash available for distribution, and continuous employment. Additionally, 453,745 PSAs from the financial year ended March 31, 2023, and 772,166 PSAs from the financial year ended March 31, 2025, have vested, resulting in the transfer of 1,225,911 ordinary shares to beneficiaries, with 150,000 shares sold at 27.55 pence to cover tax liabilities. Following these transactions, Neil Johnson holds 8,066,427 ordinary shares and Charlie Cannon Brookes holds 13,637,148 ordinary shares. The company has also issued 1,552,857 new ordinary shares into its Employee Benefit Trust, bringing the total ordinary shares in issue to 511,368,630 upon expected admission on August 18, 2026. Duke Capital Limited 17 August 2026   17 August 2026 Duke Capital Limited   ("Duke Capital", "Duke" or the "Company")   Performance Share Awards Director/PDMR Dealings and Issue of Equity   Duke Capital Limited (AIM: DUKE), a leading provider of hybrid capital solutions for SME business owners in Europe and North America, announces that the Company's Remuneration Committee has approved the grant of a total of 4,589,000 conditional rights to acquire ordinary shares of no par value (“PSAs”) under the Company's Long-Term Incentive Plan ("LTIP").   PSAs for the financial year to 31 March 2026 have been granted as follows:   Neil Johnson 1,222,000 Charlie Cannon Brookes 1,222,000 Other employees (non-PDMRs) 2,145,000 Total 4,589,000   The PSAs vest after a period of three years and are subject to various performance conditions outlined in the Company's admission document (and available on the Company's website) and set by the Remuneration Committee, all in accordance with the LTIP rules. The PSAs will be subject to the following conditions: 25% based on growth in total shareholder return ("TSR"), where TSR can be defined as the returns generated by shareholders based on the combined value of the dividends paid out by the Company and the share price performance over the period in question 25% on growth in total cash available for distribution per share ("TCAD per Share"); and 50% on continuous employment (“Time-based”). The time-based LTIPs will vest equally over three tranches at the end of years 1, 2 and 3.   Vesting of PSAs, transfer from Employee Benefit Trust (“EBT”) & Director/PDMR interests   The Company announces that a total of 453,745 PSAs, previously granted under the Company's LTIP in relation to the financial year ended 31 March 2023 have vested, representing 12.4% of the PSAs granted at that time.   The Company also announces that a total of 772,166 PSAs, previously granted under the Company's LTIP in relation to the financial year ended 31 March 2025 have vested, representing 16.7% of the PSAs granted at that time.   Accordingly, 1,225,911 existing ordinary shares held within the EBT have now been transferred to the beneficiaries, of which 150,000 shares have been sold at a price of approximately 27.55 pence in order to meet certain tax liabilities arising upon issue of the PSAs. This figure includes 5,818,181 ordinary shares legally owned by Arlington.     Total voting rights and EBT share issue   In order to maintain an appropriate level of headroom within the Company's EBT, the Company has issued 1,552,857 new ordinary shares into the Duke Capital EBT, ownership of which shall be transferred, in part or in full, to individual beneficiaries, subject to achievement of the relevant criteria following the vesting period. Application has been made for these 1,552,857 shares to be admitted to trading on AIM, which is expected to occur on 18 August 2026 ("Admission").     Following Admission and transfer of the 1,225,911 shares to LTIP beneficiaries, the Company will have 511,368,630 ordinary shares in issue admitted to trading on AIM, of which 6,626,313 will be held by the EBT.
