RYojbaba Launches Shareholder Benefit Plan Under its Consulting Services Business

FUKUOKA, JAPAN, March 2, 2026 - rYojbaba Co., Ltd. (Nasdaq: RYOJ) ("rYojbaba" or the "Company"), a Japanese consulting and health services company, announced the launch of a new Shareholder Benefit Plan (the "Program") under its consulting services business.

Japan is experiencing rapid societal change as the weakening yen lowers barriers to entry for foreign companies and investors, leading to a growing presence of non-Japanese business operators in the domestic market. These foreign business owners and entrepreneurs often struggle to navigate Japan's unspoken operational standards that are not structurally defined, including what may be perceived as potentially problematic conduct, which explanations are likely to be accepted or misunderstood, where boundaries are drawn between voluntary cooperation and formal procedures, and what types of evidence may prove decisive at different stages.

Through this program, the Company aims to support its shareholders, who also operate businesses or engage in entrepreneurial activities in Japan, navigate through unspoken standards that typically arise during corporate or individual tax audit processes, labor standards inspections and other employment-related inquiries, and regulatory or administrative inquiries. The Program aims to educate and translate Japan's unspoken institutional standards into clear, evidence-based, and audit ready frameworks for foreign business owners and entrepreneurs.

Under the Program, eligible shareholders may receive:

  • Asset Protection Consulting sessions (twice per year, online, approximately 30 minutes per session); and
  • Virtual Drill Sessions (twice per year, online, approximately 30 minutes per session).

Asset Protection Consulting

Through this consultation program, the Company will offer the following services:

  • Organization of personal and corporate asset protection strategies (domestic and international)
  • Development of governance and compliance framework for overseas residence, foreign assets, and foreign entities
  • Tax audit, regulatory and administrative review readiness support
  • Design of evidentiary structures for intangible services
  • Enhancing documentation for contracts, deliverables, payments, and timelines

Virtual Drill Session

The Virtual Drill Sessions are scenario-based training sessions designed to simulate realistic situations such as:

  • Inquiries that may appear compulsory despite lacking formal authority
  • Reviews triggered by differing interpretations of documents and communications between parties
  • Inspection or retention of electronic devices (smartphones, PCs, etc.)
  • Communication logs being taken out of context

Shareholders who hold 1,000 or more shares of the Company's common stock as of April 30, 2026 (the "Record Date") are eligible for the Program, which will commence on June 1, 2026.

Further details regarding the provision of the benefits will be announced separately on the Company's website and other appropriate channels. The number of qualifying shares and the content of the benefits may be modified at the Company's discretion. The continuation and specific details of the Program for 2027 and thereafter have not yet been determined and will be reviewed and decided separately by the Company.
