TORONTO, July 25 /CNW/ - Rothmans Inc. today announced that it held its
annual and special meeting of shareholders today at The Westin Prince Hotel at
11:00 a.m.
During the meeting, shareholders:

- elected John Barnett, Douglas Bassett, John Caldwell, Robert
Carew, Pierre Des Marais III, the Hon. Paule Gauthier, Pierre
Gravelle, Joe Heffernan and Richard H. McCoy as directors;
- appointed PricewaterhouseCoopers LLC as auditors and authorized
the directors to fix the remuneration thereof; and
- approved the adoption of a shareholder rights plan on
substantially the same terms as the rights plan originally adopted
in 2003 which was scheduled to terminate at the meeting in
accordance with its terms.
