4 November 202 2 DFS Furniture PLC RESULT OF GENERAL MEETING DFS Furniture PLC (the " Company ") announces that all of the resolutions set out in the notice of General Meeting dated 4 November 202 2 were duly passed at today's General Meeting. Details of the votes cast were as follows: Resolution For (including discretionary) % Against % Total % of ISC voted Withheld* 1. To: (i) authorise and confirm the appropriation of the relevant distributable profits of the Company to the payment of each of the Relevant Distributions; (ii) waive and release those Shareholders who appeared on the record date for the Dividends from any and all claims which the Company has or may have in relation to the payment of the Dividends, such waiver and release to be effected by way of entry by the Company into a deed of release; (iii) authorise the Company to enter into buyback deeds with each of Jefferies and Peel Hunt to acquire the relevant Shares the subject of the Relevant Share Buybacks, pursuant to which the Company will also waive and release any claims which it has or may have against Jefferies and Peel Hunt in respect of the monies paid by the Company to them in respect of the Relevant Share Buybacks; and (iv) waive and release any rights of the Company to make claims against the Relevant Directors in respect of each of the Relevant Distributions, such waiver and release to be effected by way of entry by the Company into a deed of release 189,803,986 99.99 12,382 0.01 189,816,368 78.87 1,180,210 * A vote withheld is not a vote in law and is not counted in the calculation of the proportion of votes "For" or "Against" a resolution. ** Indicates special resolutions requiring a 75% majority .
