22 May 2025 Norman Broadbent Plc ("Norman Broadbent", the "Company" or the "Group")   Result of Annual General Meeting ("AGM"), Capital Reorganisation and Total Voting Rights   Result of AGM Norman Broadbent's AGM was held at the offices of One Advisory Limited, Temple Chambers, 3-7 Temple Avenue, London EC4Y 0DT earlier today. All 13 resolutions put to members were passed on a poll, with at least 98% of votes cast in favour of each resolution. Resolutions 1-10 were passed as ordinary resolutions and resolutions 10-13 were passed as special resolutions. As at 22 May 2025, there are 66,902,286 ordinary shares of £0.01 each in issue. Shareholders are entitled to one vote per share. Votes withheld are not votes in law and so have not been included in the calculation of the proportion of votes for and against a resolution. Capital Reorganisation Following the approval of Resolution 12, the Consolidation and Sub-division Resolution, every 70 ordinary shares of £0.01 each (the "Existing Ordinary Shares") in issue as at 6.00 p.m. (BST) today will be consolidated into two new ordinary shares of £0.05 (five pence) (the "New Ordinary Shares") with the remaining nominal capital of the Company being converted into deferred share capital (altogether the "Capital Reorganisation"). To effect the Capital Reorganisation, four new Existing Ordinary Shares will be issued so that, immediately prior to the consolidation, the number of Existing Ordinary Shares will be 66,902,290, a number exactly divisible by 70. Other than the change in nominal value, the New Ordinary Shares arising on implementation of the Capital Reorganisation will have the same rights as the Existing Ordinary Shares, including voting and other rights. The Capital Reorganisation will become effective on admission of the New Ordinary Shares to trading on AIM. This is expected to occur at 8.00 a.m. (BST) on 23 May 2025 ("Admission"). Total Voting Rights Following Admission and completion of the Capital Reorganisation, the Company's issued share capital will comprise 1,911,494 New Ordinary Shares with voting rights. This figure of 1,911,494 New Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
