RNS Number : 8836V Rank Group PLC 19 April 2021 LEI: 213800TXKD6XZWOFTE12 19 April 2021 The Rank Group Plc ('Rank' or the 'Company') Reorganisation of Controlling Shareholders and Novation of Relationship Agreement Rank announces that, following an internal reorganisation by its Controlling Shareholders (as defined under the Listing Rules) (the " Reorganisation "), with effect from 16 April 2021 Hong Leong Company (Malaysia) Berhad (" Hong Leong ") will no longer be a Controlling Shareholder of the Company. Notwithstanding the Reorganisation, the total issued share capital of the Company held by the Controlling Shareholders remains unchanged at 56.1%. Prior to the Reorganisation, Hong Leong was the ultimate parent company of Guoco Group Limited (" Guoco "). Following the Reorganisation, the ultimate parent company of Guoco is GuoLine Capital Assets Limited (" GuoLine "). Guoco holds a controlling interest in Rank via its wholly-owned subsidiary, Rank Assets Limited. The Company, Hong Leong and Guoco entered into a relationship agreement on 10 November 2014 to govern the relationship between the Company and its Controlling Shareholders (" Relationship Agreement "). Further to the Reorganisation, Hong Leong, Guoco and the Company agreed to novate the Relationship Agreement such that, with effect from 16 April 2021, the parties to the Relationship Agreement are the Company, Guoco and GuoLine. The terms of the Relationship Agreement remain unchanged.
