Central Asia Metals: Receipt of Kazakh regulatory approval

· Issued by Central Asia Metals PLC via RNS

Summary by 6ix

Central Asia Metals PLC (CAML), which owns copper and zinc-lead operations in Kazakhstan and North Macedonia, has received approval from the relevant authorities in Kazakhstan to issue the new CAML shares under its proposed all-share acquisition of 100% of Cygnus Metals Limited. This approval was a condition of the deal.

Key details

  • The acquisition is being carried out through an Australian scheme of arrangement, a court-supervised process for one company to take over another, first announced on 2 June 2026.
  • The second court hearing remains scheduled for 14:15 Australian Western Standard Time on 14 October 2026.
  • The indicative timetable is unchanged from CAML's announcement of 23 September 2026: an effective date of 15 October 2026 and an implementation date of 27 October 2026.

What’s still pending

  • Cygnus has advised CAML that it expects the remaining conditions of the scheme to be satisfied or waived at or immediately before the second court hearing.
  • The scheme still requires court approval at the second court hearing.
  • All times and dates are indicative only and depend on factors outside the control of CAML and Cygnus, including the court approval process and the satisfaction or waiver of the remaining conditions.
  • Because of time zone differences between Canada and Australia, some implementation steps may take place on 26 October 2026 during Canadian business hours so that implementation can occur on 27 October 2026.
