JPMorgan Cazenove Limited ('JPMorgan Cazenove')
On 25 July 2005, JPMorgan Cazenove made an offer (the 'Offer') to purchase all
of the 612,704 non-cumulative preference shares of 1 7/8 pence each in the
capital of the Company ('B Shares'), at a price of 403.47 pence each (subject to
appropriate rounding and free from all dealing expenses and commissions).
The Offer has been accepted in accordance with the Company's articles of
association on behalf of the B shareholders. The B Shares have subsequently
been purchased by Helical Bar for cancellation.
