Rabigh Refining and Petrochemical Company (Petro Rabigh) is pleased to announce the opening of nominations for membership of the Board of Directors for its upcoming term, which begins on November 3, 2012 and continues for three years.
The candidate who has the ability and competence & the experience of not less than ten (10) years in a managerial position in the oil and gas or petrochemical industries and their applications or marketing, locally and internationally and is one of the Company's shareholders with a number of shares of not less than a nominal value of SR 10,000, may apply for nomination to the Nominations, Remuneration and Compensation Committee at the addresses set forth below, during the period of July 7th -20th, 2012. The candidate must observe the conditions stipulated in the circulars of the Ministry of Commerce and Industry, No. 3800/205/222 issued on 26/12/1420 H, and No. 3245/9362/222 issued on 18/6/1412 H, which included the following:
1 - The candidate submits the application for membership during the time period specified above, and shall notify the Board of Directors of the Company of his desire to be nominated for the membership of the Board. The application shall include an introduction of the candidate highlighting his curriculum vitae, qualifications, practical experience, a clear copy of the national identity card for individuals or the commercial registration for companies and institutions, and the contact details of the candidate including the mobile number, fax number and e-mail address.
2 The candidate who had previously served as a member of the Board of Directors for any joint stock companies must indicate the number and duration of his memberships at the boards of these companies.
3 - The candidate must submit a statement of the joint stock companies where he is still a board member.
4 - The candidate must submit a statement of the companies or institutions where he still participates in management or ownership, and that are operating similar activities to the Companys.
5 - If the candidate had previously served as member of the Board of Directors of Rabigh Refining and Petrochemical Company, he must attach to the membership application a statement issued by the Company management of the last term during which he was a Board member including the following information: -
A - The number of meetings of the Board during each year of the session, the number of meetings attended by authenticity and the percent of his presence at all Board meetings.
B - The standing committees that the member participated in, and the number of meetings held by each committee during each year of its sessions.
C - A Summary of the financial results of the Company during each year of the session when he was a Board member.
The candidate is also required to fill out the curriculum vitae form issued by the Capital Market Authority (CMA) (Form Number 3) which is available on the CMAs website. It is also noted that a Board member may not be a member of the boards of more than five joint-stock companies at the same time.
