ProSmart Announces Changes to Its Board of Directors and Amends Option Terms

Kelowna, BC (FSCwire) - ProSmart Enterprises Inc. (TSXV:PROS) (“ProSmart” or the “Company”) announces significant changes to its Board of Directors (the “Board”) pursuant to the Board of Directors meeting on January 29, 2018.  Paul Reinhart, Executive Chairman and Director of ProSmart, has resigned from the Board. James Mutter, Director, has been appointed Chairman of the Board.  In addition, Pascale Audette, a current operational Advisor to the Company, has agreed to join the Board.

Mr. Reinhart is resigning to make room on the Board for the addition of Ms. Audette, whose experience in growing technology companies will be extremely valuable in guiding the Company forward.  With Mr. Reinhart’s considerable experience as a business person in the public markets as well as his professional hockey background, he will continue to be a valuable member of the ProSmart team as a Senior Advisor.  Mr. Reinhart and his associates will remain significant shareholders and are fully committed to making ProSmart a success.

Says Mr. Reinhart, “From the outset our goal and objective was to expose our shareholders to significant opportunities in the sports technology marketplace.   Strong senior management, board members and advisors are critical for guiding the Company into the future.  My transition and Pascale’s addition is a further key step in building that exceptional team.”

Ms. Audette’s strengths are in balancing the strategic and operational sides of a business. She has a knack for managing change through growth, developing new markets and expanding internationally.  Ms. Audette is currently CEO of Carebook Technologies, a mobile health management company.  Prior to this role, she was Co-Founder and CEO of Hyper Hippo Productions, a digital gaming studio, and was Head of Studio and Vice President of Global Operations at Disney Interactive where she was directly responsible for growing the children’s online game, Club Penguin, to over 150 million unique members.

Says Pascale Audette, “I am very excited to be joining such a talented and passionate group of people and to contribute to accelerating growth.  I have been watching the development of ProSmart for several years now and see that they are in a place where my experience and network can really help the Company.”

Says ProSmart CEO, Alan Schuler, “We wish to thank Paul for his tremendous vision in bringing RosterBot and ProSmart together as well as his efforts guiding a successful integration that has set us up well to move into our next phase of growth.  I am glad that we can continue to take advantage of his considerable experience and network going forward.  I am also extremely pleased that Pascale is increasing her involvement with the Company.  Her guidance has been impeccable so far, and her vast experience and connections will be instrumental in helping us take our business to the next level.”

In addition, the Company wishes to announce that the vesting terms for 100,000 options granted by the Company on November 15, 2017 to certain consultants has been amended from vesting over a period of three years to vesting immediately.
