Proposed Board Changes

1 October 2024 Aptitude Software Group plc ("Aptitude", "the Group") Proposed Board Changes Aptitude (LSE: APTD), a market-leading provider of autonomous finance software solutions, wishes to announce the following proposed changes to its board of directors (the " Board "). ·      Ivan Martin, Non-Executive Chairman, who was appointed to the Board on 1 January 2016 will step down from the Board following the 2026 AGM; ·     Barbara Moorhouse, Non-Executive and Senior Independent Director, who was appointed to the Board on 1 April 2017 will step down from the Board following the 2025 AGM; and ·     The Board will commence a search process for a new non-executive director to replace Barbara Moorhouse. It is intended that this new non-executive director will be appointed as Senior Independent Director with the aim being that this person will be a potential successor to Ivan Martin as Chairman following the 2026 AGM. These changes are intended to balance operational continuity with the evolution of the strategic leadership of the business.
