PROPOSALS AND ADDITIONAL MATTERS RATIFICATION OF THE WAIVER OF A CONFLICT OF INTEREST OUTSIDE THE SCOPE OF THE GENERAL AUTHORIZATION
By Board of Directors' Minutes No. 588, Santiago Mejía Medina was appointed as Vice President of Transportation of Promigas.
Board member Luis Ernesto Mejía Castro disclosed the existence of a potential conflict of interest due to a consanguinity relationship with the aforementioned Vice President.
Although Decree 046 of 2024 does not explicitly contemplate this relationship as a conflict-of-interest event, for purposes of transparency and sound corporate governance, the General Meeting of Shareholders is requested to ratify the waiver of the potential conflict of interest in connection with the aforementioned appointment.
