Airtel Africa plc ("Airtel Africa", or "Group") Director/PDMR Shareholdings London and Lagos, 1 July 2024: Airtel Africa, a leading provider of telecommunications and mobile money services, with a presence in 14 countries across Africa, announces that ordinary shares of USD 0.50 each were granted as share awards on 25 June 2024 (the "Grant Date") to the following Persons Discharging Managerial Responsibilities ("PDMRs") in accordance with the rules of the Airtel Africa Long-Term Incentive Plan. The conditional share awards were granted using a share price of 119 pence being the average middle market quotation of a share over the period of three dealing days ending 24 June 2024. Grant of Awards under The Airtel Africa Long-Term Incentive Plan. 1. Performance Share Awards Number of Shares Jaideep Kishore Paul Group Chief Financial Officer 449,931 Performance Share Awards will normally vest on the third anniversary of the Grant Date, subject to the performance targets based on three key areas: Net Revenue Growth, Total Shareholder Return and Underlying EBITDA Margin. Restricted Share Awards Number of Shares Jaideep Kishore Paul Group Chief Financial Officer 179,972 Restricted Share Awards will normally vest on the third anniversary of the Grant Date, subject to an Operating Free Cash Flow Performance Underpin. 3. Deferred Bonus Awards Number of Shares Olusegun Ogunsanya Chief Executive Officer 283,555 Jaideep Kishore Paul Group Chief Financial Officer 172,532 Deferred Bonus Shares Awards will normally vest on the second anniversary of the Grant Date with the exception of the outgoing CEO, Olusegun Ogunsanya, whose award will normally vest in full on departure on account of him being a good leaver.
