(OTCQB: DAVC) – Darkstar Ventures (the "Registrant") was incorporated on May 8, 2007 in the State of Nevada, for the purpose of offering eco-friendly health and wellness products. In November 2012, the Registrant entered into a letter of intent to acquire 100% of Real Aesthetic, Inc. in a share exchange transaction, the closing of which was subject to the completion of due diligence, the execution of a definitive agreement and receipt of audited financial statements for Real Aesthetic.
In the Form 10-Q for the period ended April 30, 2013, the Registrant disclosed the: (i) termination of efforts to close the share exchange transaction; and (ii) intention of devoting its efforts to identify and negotiate other potential business combination transaction.
The Registrant, in its Form 8-K filed July 13, 2015, disclosed that through its wholly-owned Israeli subsidiary, Bengio Urban Renewals Ltd, that it would focus its resources in the area of real estate development, particularly focusing on the urban renewal market in Israel. The basis for this determination is that in several major Israeli cities, there is virtually no land space to grow and, as a result, several municipal governments have allowed older buildings to be renovated, thereby providing cities the opportunity to develop new apartments to be added to or replacing older existing buildings.
