RESOLUTIONS OF THE 51ST ORDINARY GENERAL MEETING OF SHAREHOLDERS

Dear Shareholders:

We would like to express our appreciation for your continued support and patronage.

The following matters were reported and resolved at the 51st Ordinary General Meeting of Shareholders of OHSHO FOOD SERVICE CORP. (the "Company") held today.

Matters reported:
  1. The Business Report, Consolidated Financial Statements for the Company's 51st Fiscal Year (April 1, 2024-March 31, 2025) and results of audits of the Consolidated Financial Statements by Accounting Auditor and the Board of Corporate Auditors.

  2. The Non-Consolidated Financial Statements for the Company's 51st Fiscal Year (April 1, 2024-March 31, 2025).

The matters were reported as described above.

Proposals resolved: Proposal No. 1: Appropriation of Surplus

The proposal was approved and resolved as originally proposed, and the year-end dividends were decided to be ¥28 per share.

Proposal No. 2: Election of Eight (8) Directors

Please receive the year-end dividends for the 51st Fiscal Year, which will be provided in accordance with the enclosed "Year-end Dividends Receipt for the 51st Fiscal Year," at your nearest head office, branch office or sub-branch office of Japan Post Bank or post office (bank agency) during the payout period (from June 27, 2025 to July 31, 2025).
