DEED OF MERGER BY INCORPORATION OF GLOBAL AEROSPACE TECHNOLOGIES GROUP INTO OFFICINA STELLARE EXECUTED

Sarcedo (VI), 20 May 2026 - Officina Stellare S.p.A. ("Officina Stellare" or the "Company" or the "Incorporating Company"), a Vicenza-based company listed on Euronext Growth Milan of Borsa Italiana, leader in the design and manufacturing of high-end opto-mechanical instrumentation for the aerospace, scientific research, and defence sectors, announces that today the notarial deed of merger by incorporation of Global Aerospace Technologies Group

S.p.A. ("GATG" or the "Incorporated Company") into Officina Stellare (the "Merger") has been executed, in implementation of the resolutions adopted by the Extraordinary Shareholders' Meetings of Officina Stellare and GATG held on February 23rd, 2026.

The deed of merger will be filed for registration with the competent Companies' Register within the time limits prescribed by law.

The effects of the Merger, pursuant to Article 2504-bis, paragraph 2, of the Italian Civil Code, shall take effect from June 1st, 2026 (the "Effective Date") or, if later, from the first day of the month in which the last registration of the deed with the Companies' Register has taken place. For accounting purposes, the transactions carried out by the Incorporated Company shall be recorded in the financial statements of the Incorporating Company from the first day of the financial year in progress at the Effective Date (i.e. from January 1st, 2026); the tax effects shall also run from the same date.

From the Effective Date, the Incorporating Company shall succeed to all the assets and liabilities and all legal relationships of the Incorporated Company.

Further to the press release published on October 28th, 2025, it is also noted that - on May 13th, 2026 - Global Aerospace Technologies S.p.A., whose share capital is wholly owned by GATG, has completed the acquisition of Sitep Italia S.r.l., a company active in the production of electronic systems for the naval defence sector.
