CENTRICA PLC (the " Issuer ") NOTICE OF CHANGE OF AGENT to the holders of the GBP 150,000,000 Municipal Index Linked and Fixed Rate Notes due 2026 (ISIN: XS0265184589); USD 70,000,000 Fixed Rate Notes due 2027 (ISIN: XS0502919797); GBP 750,000,000 4.375 per cent. Notes due 2029 (ISIN: XS0753789980); EUR 50,000,000 Zero Coupon Notes due 2032 (ISIN: XS0721258860); GBP 770,000,000 7.00 per cent. Notes due 2033 (ISIN: XS0388006123); GBP 550,000,000 4.25 per cent. Fixed Rate Notes due 2045 (ISIN: XS0975608463) (together the " Notes ") of the Issuer presently outstanding and issued under the Issuer's U.S.$10,000,000,000 Euro Medium Term Note Programme NOTICE IS HEREBY GIVEN to the holders of the Notes (the " Noteholders ") that the Issuer has terminated the roles of HSBC Bank plc as Principal Paying Agent and HSBC Continental Europe (formerly HSBC Institutional Trust Services (Ireland) Limited) as Paying Agent in respect of the Notes with effect from 29 August 2025. The Issuer will enter into a supplemental agency agreement in relation to the Notes pursuant to which it will appoint Citibank, N.A., London Branch as replacement Principal Paying Agent and Citibank Europe plc as replacement Paying Agent in respect of the Notes. The appointments will take effect on 29 August 2025 (the " Effective Date "), being the same date as the termination of the previous appointments. The supplemental agency agreement makes certain minor changes to the commercial terms between the Issuer and the Paying Agents, including in order to reflect legislative changes since the original agreements were executed. A copy of the supplemental agency agreement is available for inspection at the offices of the Trustee and the current Agents. Capitalised but undefined terms shall have the meanings set out in the terms and conditions of the relevant Notes.
