Relx: Non-Discretionary Share Buyback Programme

· Issued by Relx PLC via RNS

Summary by 6ix AI

RELX PLC will run an irrevocable, non-discretionary programme (set in advance and not changed by the company once started) to repurchase £125 million of its ordinary shares between October 22, 2026 and December 2, 2026. UBS AG London Branch will manage the programme and make its trading decisions independently of the company.

Key details

  • This programme follows the completion of an earlier £125 million non-discretionary buyback on October 21, 2026. Both are part of the £2.25 billion to be deployed on share buybacks in 2026, as announced on February 12, 2026.
  • RELX PLC says the purpose is to reduce the company's capital. It intends to hold the purchased shares in treasury, meaning the company keeps them itself.
  • Purchases fall under the buyback authority shareholders granted at the Annual General Meeting held on April 23, 2026. Taking into account shares bought since that meeting, this authority allows no more than 140.3 million ordinary shares to be purchased.
  • RELX PLC also cancelled 87 million ordinary shares it held in treasury. After the cancellation it holds 871,910 ordinary shares in treasury and has 1,741,290,013 ordinary shares in issue, excluding treasury shares.

What’s still pending

  • Any share purchases will be made within certain pre-set parameters and in line with the UK and EU Market Abuse Regulations and Chapter 9 of the Listing Rules.

Announcement of Non-Discretionary Share Buyback Programme and Cancellation of Shares held in Treasury

RELX PLC (the “Company”) announces in compliance with the UK and EU Market Abuse Regulations that it will implement an irrevocable, non-discretionary programme to repurchase its ordinary shares between 22 October 2026 and 2 December 2026 (the "Programme"), with a spend in this period of £125 million. This follows the successful completion of a £125 million non-discretionary programme on 21 October 2026. Both programmes are part of the £2.25 billion to be deployed on share buybacks in 2026, as announced on 12 February 2026.

The purpose of the Programme is to reduce the capital of the Company and it intends that shares purchased will be held in treasury.

Any share purchases will be made by the Company within certain pre-set parameters and in accordance with the general authority of the Company to repurchase shares granted by shareholders at the Company’s Annual General Meeting held on 23 April 2026 which, taking into account shares purchased subsequent to this meeting, permits the Company to purchase no more than 140.3 million ordinary shares. Any share purchases effected by the Company will be in accordance with the UK and EU Market Abuse Regulations and Chapter 9 of the Listing Rules.

The Company has entered into an agreement with UBS AG London Branch ("UBS") under which it has issued irrevocable instructions to UBS to manage the Programme. UBS will carry out the Company’s instructions through the acquisition of ordinary shares in the Company for subsequent repurchase by the Company. UBS will make its trading decisions under the Programme independently of, and uninfluenced by, the Company.

RELX PLC also announces that yesterday it cancelled 87 million of its ordinary shares held in treasury. Following the cancellation, RELX PLC holds a total of 871,910 ordinary shares in treasury and has 1,741,290,013 ordinary shares in issue (excluding treasury shares).
