NYK has reached an agreement with Fujitsu Limited to acquire all shares of YJK Solutions Co., Ltd. (YJK) held by Fujitsu, making YJK a wholly owned subsidiary of NYK (the "Transaction"). The Transaction is scheduled to be completed on October 1, 2026. 1. Purpose of the Acquisition YJK's principal businesses include the development, operation, and maintenance of IT systems supporting shipping, port, and logistics operations, as well as the provision of IT engineering services. Through full ownership of YJK, NYK aims to further strengthen the integration of the Group's IT strategy with its IT system development and operational capabilities, thereby enhancing the IT foundation that supports the sustainable growth of the NYK Group. 2. Future Plans To further advance and improve the efficiency of the NYK Group's IT functions, NYK plans to explore the integration of YJK with NYK Business Systems Co., Ltd., which is responsible for the Group's IT operations. NYK will continue to promote the centralization and optimization of IT functions across the Group and build an organizational framework capable of responding swiftly and flexibly to changes in the business environment. 3.
