Notice Regarding the Acquisition of Shares and Making KANAMEL Inc. a Wholly Owned Subsidiary
Strengthening Content Production Capabilities for the Global Market
Nippon Television Holdings, Inc. (hereinafter "the Company") has resolved, at the Meeting of the Board of Directors held today, to acquire an additional 77.2% of shares of KANAMEL Inc. (formerly AOI TYO Holdings Inc.; Head Office: Shinagawa-ku, Tokyo; Yasuhito Nakae, Representative Director & Group CEO; hereinafter "KANAMEL"), which operates in the field of film production and consulting, making it a wholly owned subsidiary of the Company. The share acquisition amount is 39.3 billion yen. Including the shares acquird for 9 billion yen in April 2025, the Company's total cumulative investment in KANAMEL amounts to 48.3 billion yen.

Background, Purpose, and Other Matters Related to Making KANAMEL a Wholly Owned Subsidiary
The Nippon TV HD Group ("our Group") has set "Transform into a global content company" as a key pillar in the Medium-Term Management Plan 2025-2027 and aims to yield 100 billion yen in international sales by fiscal year 2033. We are accelerating our efforts to create Intellectual Property (IP) and strengthen our content creation framework.
KANAMEL holds the leading domestic share of the advertising video production market and has won numerous awards both domestically and internationally for its video productions, including films and dramas. In 2025, films such as EXIT 8 and SUZUKI=BAKUDAN achieved great success, demonstrating the company's exceptional creative talent and well-established production system. KANAMEL is also expanding its business in the consulting field using its creative production capabilities as a source.
Since entering into a capital and business alliance with KANAMEL in April 2025, we have advanced a variety of cocreation projects. In January this year, together with AOI Pro. and Tree Digital Studio-both under KANAMEL-we produced and broadcast a drama that integrated live-action footage with generative AI imagery. Several further projects are already underway.
In pursuing these initiatives, we determined that, for our Company to establish a content creation framework capable of competing on a global scale, it was essential to integrate KANAMEL's high-quality video production capabilities with our Company's strengths in planning, producing, and outreach. By doing so, we aim to create a structure that maximizes the advantages of both organizations. Accordingly, we have resolved to integrate KANAMEL as a wholly owned subsidiary.
By bringing Kanamel fully under our Group, we will maximize the Group's creative capabilities and accelerate our growth into a Global Content Creator that consistently produces high-quality original movies and dramas capable of competing on the world stage from Japan. Furthermore, by integrating KANAMEL's advanced strategic planning capabilities, we will strengthen our advertising business, which lies at the core of our Group.
It should be noted that, with respect to this transaction, the share acquisition rights issued by KANAMEL will be partially purchased by KANAMEL, and to provide funds for this, the Company will subscribe for shares of KANAMEL through a third-party allotment of 2 billion yen. The acquisition amount 39.3 billion yen includes the aforementioned 2 billion yen.
