MOVIDA Participações S.A. ("MOVIDA" or "Company") (B3: MOVI3), in compliance with the provisions of Law No. 6,404/76 ("Brazilian Corporate Law") and CVM Resolution No. 44/21 ("RCVM 80"), further to the Material Facts disclosed on 03.05.20262and 04.02.2026, hereby informs its shareholders and the market in general that the Company has received effective subscriptions and subscription commitments from investors in an aggregate amount sufficient to reach the minimum total subscription of BRL 500,000,011.24 (five hundred million reais and eleven cents) required for the ratification of the MOVIDA Capital Increase. It is worth noting that the Capital Increase may reach the maximum limit of up to BRL 750,000,011.00 (seven hundred and fifty million reais and eleven cents). Such subscription commitments remain subject to the satisfaction of their respective conditions precedent.
