Morningstar DBRS Assigns Long-Term Issuer Ratings of BBB (high) to Bank Iowa and BBB to Bank Iowa Corporation, Stable Trends

· Issued by Morningstar, Inc.

DBRS, Inc. (Morningstar DBRS) assigned credit ratings to Bank Iowa Corporation (BIC or the Company), including a Long-Term Issuer Rating of BBB and a Subordinated Debt Rating of BBB (low), all with Stable trends.

Morningstar DBRS also assigned credit ratings to the Company's subsidiary, Bank Iowa (the Bank), including a Long-Term Issuer Rating of BBB (high) with a Stable trend. The Intrinsic Assessment (IA) for the Bank is bbb (high) while the Support Assessment is SA1, reflecting the expectation of internal support provided by the Company. The Company's Support Assessment is SA3, meaning that timely systemic support is not expected. BIC's Long-Term Issuer Rating is positioned one notch below the IA.

KEY CREDIT RATING CONSIDERATIONS

BIC's credit ratings and stable trend reflect the Company's established community banking franchise, characterized by strong customer relationships, a leading market position among Iowa-based community banks, and successful efforts to diversify beyond its historical agricultural banking focus into commercial banking, treasury management, mortgage lending, and specialty businesses. The ratings are supported by strong earnings generation, evidenced by consistently solid profitability metrics, expanding net interest margins (NIMs), and robust internal capital generation. Additionally, the Company maintains a particularly strong funding and liquidity profile, underpinned by a highly insured deposit base, substantial on-balance-sheet liquidity, and significant contingent funding capacity. The credit ratings also recognize the Bank's conservative underwriting culture and historically excellent loan loss performance, although these strengths are balanced by meaningful concentrations in agricultural lending and commercial real estate, as well as its geographic concentration within Iowa. While asset quality remains generally sound, Morningstar DBRS notes the presence of a large nonperforming development credit and a significant watchlist relationship that warrant continued monitoring, though both are reportedly well collateralized, idiosyncratic, and not currently expected to result in material losses.

The Bank's IA of bbb (high) is at the midpoint of the IA range, reflecting a credit profile that compares favorably with similarly rated community banking peers.

CREDIT RATING DRIVERS

BIC's credit ratings would be upgraded if the Company increased its overall scale as well as its geographic and revenue diversity while maintaining solid profitability metrics, a sound risk profile, and strong capital levels. Conversely, the credit ratings would be downgraded if there were a notable deterioration in asset quality or a material weakening in the Company's financial performance.

CREDIT RATING RATIONALE

Franchise Combined Building Block Assessment: Weak/Very Weak

BIC's franchise reflects its position as an Iowa-based community banking organization, with approximately $2.4 billion in assets, $1.8 billion in loans, and $2.0 billion in deposits as of June 30, 2026. The Company operates 24 banking locations across Iowa and maintains a longstanding community banking model supported by deep local customer relationships and stable family ownership. While the franchise remains geographically concentrated in Iowa, management has successfully diversified the business mix over time, reducing agricultural lending from approximately 50% of loans a decade ago to approximately 27% to 29% currently, through growth in commercial real estate, commercial and industrial lending, mortgage banking, treasury management, and specialty businesses. The 2025 acquisition of Iowa Property Exchange (IPE 1031) further broadened the franchise through the addition of a national specialty business and a source of low-cost deposits.

Earnings Combined Building Block Assessment: Good/Moderate

Earnings are solid and supported by strong net interest income generation, improving margins, and consistent loan growth. For the first half of 2026, BIC reported net income of $14.3 million, up 24% year over year and above budget, producing a return on average assets of 1.21%, return on average equity of 15.7%, and an efficiency ratio of 67%. The NIM improved to 3.69%, benefiting from loan growth and lower funding costs. Revenue growth was balanced between net interest income, which increased 21%, and noninterest income, which increased 12%. Nevertheless, fee income remains relatively modest, representing roughly 11% of total revenue, resulting in continued reliance on spread income. Management expects profitability to remain strong, with a return on assets target greater than 1.20%. Morningstar DBRS notes that, as an S-Corp, most of the Company's tax liabilities fall to its shareholders, helping to boost overall profitability metrics.

Risk Combined Building Block Assessment: Good/Moderate

The Company's risk profile benefits from a conservative and relationship-based underwriting culture. Net charge-offs have remained negligible through multiple economic cycles. The loan portfolio contains meaningful concentrations in agricultural lending, representing approximately 28% of loans, and commercial real estate, representing approximately 46% of loans, although management has been actively diversifying the portfolio and moderating growth in higher-risk construction lending. Asset quality remains generally sound, though current metrics are affected by a $20.5 million nonperforming development loan and a separate larger watchlist credit. Both credits are reportedly well collateralized, and management does not currently expect material losses. Overall, nonperforming loans remained at a manageable level, representing approximately 1.35% of total loans as of Q2 2026.

Funding and Liquidity Combined Building Block Assessment: Good

The Company maintains a highly stable deposit base, with approximately 97% of deposits insured or collateralized and a loan-to-deposit ratio of approximately 90% as of mid-2026. Deposit concentrations are manageable and supported by longstanding municipal and retail customer relationships as well as deposit growth generated through the IPE acquisition. While brokered deposits represent approximately 8% of total deposits and time deposits account for 36% of total deposits, reliance on wholesale funding remains moderate. Liquidity is strong, with cash and securities totaling approximately $470 million as of Q2 2026, or roughly 20% of assets, and contingent liquidity sources of approximately $900 million, including Federal Home Loan Bank borrowing capacity, Federal Reserve facilities, and unpledged securities.

Capitalization Combined Building Block Assessment: Good/Moderate

Capitalization is sound and supported by strong earnings generation and meaningful earnings retention. As of Q2 2026, the Company reported a CET1 ratio of 9.77%, a leverage ratio of 8.03% and a total risk-based capital ratio of 10.99%, all comfortably above regulatory well-capitalized thresholds. As a Subchapter S corporation, BIC distributes cash to shareholders primarily to cover pass-through taxes, with total distributions representing approximately 38% of 2025 earnings, allowing the majority of earnings to be retained to support growth. While the Company's private ownership somewhat limits access to external equity capital, internal capital generation remains strong.
