Notice of Acquisition of Shares of PHARUMO, Inc. by MTI Healthcare Holdings, Inc.
~ Accelerate Business Growth by Strengthening Cooperation in the Pharmacy DX Area~
June 10, 2025 MEDIPAL HOLDINGS CORPORATION
In June 2016, MEDIPAL HOLDINGS CORPORATION ("MEDIPAL") formed a capital and business alliance with MTI Ltd. (headquartered in Shinjuku-ku, Tokyo; Mr. Toshihiro Maeta, President and Chief Executive Officer; "MTI") to promote digital transformation (DX) in the medical and healthcare fields. The two companies have been collaborating by leveraging their respective strengths.
In 2021, the two companies jointly established MTI Healthcare Holdings, Inc. (headquartered in Shinjuku-ku, Tokyo; Mr. Hiroki Miyamoto, President and Representative Director; "MTI Healthcare HD"), an equity-method affiliate of MEDIPAL. They also established Solamichi System Inc. (Head office: Shinjuku-ku, Tokyo; Mr. Takahiro Taura, CEO) , which develops a cloud-based electronic drug history system, Boshimo Ltd. (Head office: Shinjuku-ku, Tokyo; Mr. Hiroki Miyamoto, CEO), which provides electronic mother-and-child health handbook services and Childcare DX services, and CARADAmedica Inc. (Head office: Shinjuku-ku, Tokyo; Mr. Seitaro Sugawara, Representative Director), which operates an online medical care system and online health consultation business. These developments deepened their collaboration.
Today, in order to further deepen and expand the scope of this collaboration, we are pleased to announce that MTI Healthcare HD has acquired a portion of the shares of PHARUMO, Inc. (headquartered in Shinjuku-ku, Tokyo; Mr. Yoshie Hiroi, President and Representative Director, "PHARUMO") owned by MTI, the parent company of MTI Healthcare HD.
By acquiring shares of PHARUMO, which develops ICT solutions for pharmacies, including the "PHARUMO Cloud" dispensing information hub system, the MEDIPAL Group will be able to expand the range of DX solution services it provides to dispensing pharmacies.
The environment surrounding dispensing pharmacies is characterized by a labor shortage due to a declining workforce and increased workload, which is a major challenge. Through the promotion of DX in dispensing pharmacies, we aim to further improve the work efficiency of pharmacists, reduce their workload, and improve the quality of patient services, thereby developing pharmacies as places that play a central role in comprehensive community care.
Through these efforts, MEDIPAL aim to achieve further growth by realizing our management philosophy of "Contributing to people's health and the advancement of society through creation of value in distribution".
