15 June 2026   Public Policy Holding Company, Inc.   ("PPHC", the "Group" or the "Company")   LTIP Awards, TVR and PDMR Dealings Public Policy Holding Company, Inc., a leading global provider of strategic communications services announces that it has granted the following to a broad range of its current employee base, including to Directors and senior employees ("PDMRs") of the Company under PPHC's Amended and Restated 2021 Omnibus Incentive Plan  initially adopted in connection with the Group's admission to AIM in December 2021, and recently amended and restated in connection with the Group's listing on the Nasdaq Global Market (as amended, restated and currently in effect, the "Omnibus Plan"): -       Options over shares of Common Stock, par value $0.001 per share (the "Common Shares") in the Company (the "Options"); -       Restricted Stock Awards ("RSAs") of Common Shares which will rank pari passu with the existing Common Shares -       Restricted Stock Units ("RSUs") in respect of Common Shares Options In total, 30,700 Options have been granted with an exercise price of $10.41 per Common Share, being the closing price on the grant date of 4 June 2026, effective from 12 June 2026, under the Omnibus Plan. Of this tranche, no Options have been granted to PDMRs. The Options will vest across a three-year period from 1 June 2026, and will be subject to certain acceleration and clawback events tied to continuation of employment and compliance with various employment-related agreements.   RSAs In total 292,080 RSAs have been issued and are effective on 12 June 2026, under the Omnibus Plan. Of this tranche, 168,333 have been granted to PDMRs (including Executive Directors and other senior management). The RSAs will vest in full across a one-year period from 1 June 2026. Application will be made for the new Common Shares, which will rank pari passu with the existing Common Shares in issue, to be admitted to trading on AIM. Dealings are expected to commence on or around 18 June 2026. Following this issue of shares, the Company's total issued and voting share capital upon admission will consist of 29,895,289 Common Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company. RSUs In total, 663,879 RSUs have been granted and are effective on 12 June 2026, under the Omnibus Plan. Of this tranche, 285,051 RSUs have been granted to PDMRs (including Executive Directors, Non-Executive Directors and other senior management). The RSUs will vest on 1 January 2027 (in the case of RSUs granted to Non-Executive Directors) and across a three year period from 1 June 2026 (in the case of all other RSUs), split equally each year, and will be subject to certain acceleration and clawback events tied to continuation of employment and compliance with various employment-related agreements.
