NOTES TO INTERIM FINANCIAL STATEMENTS

General
These interim financial statements have been prepared in accordance with LKAS 34 Interim Financial Reporting and do not include all of the information required for a full set of financial statements.
The requirements of the Colombo Stock Exchange and the Companies Act No.7 of 2007 have also been considered in preparing these financial statements
The information for the preparation of these interim financial statements has been drawn up from the previous year's audited financial records of the Company.
Accounting policies and methods of computation as stated in the audited financial statements for the year 2023/24 are followed in the preparation of these Interim Financial Statements.
Interest income recognized in profit or loss using the effective interest method. The effective interest rate is the rate that exactly discounts the estimated future cash payments and receipts through the expected life of the financial asset or liability to the carrying amount of the financial asset or liability. Other operating income includes commision income, capital gains / losses arising from marked to market valuation of quoted shares held for trading purposes, dividends, fee income, collections from contracts written off and other sundry income.
The Company's Profit for the year ended March 31, 2025, amounted to Rs. 25 billion, reflecting a 16% increase in profitability compared to the previous year. The net lending portfolio recorded significant growth of Rs. 47 billion, rising from Rs. 250 billion to Rs. 297 billion during the financial year. Additionally, the deposit base expanded from Rs. 206 billion to Rs. 226 billion as of March 31, 2025. Both interest income and interest expenses declined during the period, primarily due to lower market interest rates. Effective management of non-performing loans (NPLs), along with a net reversal of Rs. 7.3 billion in impairment provisions related to ISB investments-following the debt restructuring-contributed to a substantial reduction in provisions compared to the prior year. However, other operating income declined year-over-year, mainly due to lower revaluation gains on investment properties compared to the previous year and a derecognition loss of Rs. 3.7 billion on the restructuring of SLISBs during the current financial year.

Other Disclosure Information
The proceeds derived from debenture and rights issues in previous periods have been wholly allocated to the objectives delineated in the respective prospectuses. Consequently, in conformity with the stipulations set forth in Rules 7.6 (XIII) and Appendix 7A Part (a) Item 3 of the Listing Rules of the pertinent Colombo Stock Exchange (CSE), there exists no obligatory requirement for additional disclosures.
Capital Reduction
At the Extraordinary General Meeting held on July 29, 2024, the shareholders of LOLC Finance PLC (LOFC) approved a resolution for a capital reduction in accordance with the Companies Act No. 7 of 2007. The purpose of this capital reduction was to eliminate the negative merger reserve arising from amalgamations conducted in previous years.
The capital reduction involved offsetting the negative merger reserve of Rs. 262,914,889,649 against the existing stated capital of Rs. 306,993,805,501. This adjustment did not affect the company's equity, and it entailed no movement of cash or assets. Additionally, there was no impact on the number of shares outstanding for the entity.

The Company is not compliant with the minimum public holding requirement stipulated in the Listing Rule 7.13.1.i (b) of the Colombo Stock Exchange. This arose consequent to the merger with subsidiaries (Commercial Leasing and Finance PLC and LOLC Development Finance PLC) took place on 31st March 2022 and 31st January 2023 respectively.
The Board of Directors of the Company is in the process of evaluating options in this regard.
