JSP : Notice of Full Ownership Acquisition of GHEPI Srl and HAPP GmbH

JSP Corporation (Head Office: Chiyoda-ku, Tokyo, President: Tomohiko Okubo) hereby announces that a consolidated subsidiary JSP International S.A.R.L. (France) made an investment on July 1, 2025, to acquire the 65% of GHEPI S.r.l. (Italy). Additionally, a consolidated subsidiary JSP International GmbH & Co.KG (Germany) also made an investment to acquire 30% of HAPP GmbH (Germany) on July 3, 2025. As a result, we are pleased to announce that GHEPI S.r.l. and HAPP GmbH have become wholly owned subsidiaries.

１．Reasons and Background of Investment

The JSP Group has been expanding new business sectors as a key management theme in our long-term vision "VISION2027," and has been actively investing in the injection molding business as one of its strategic fields. The JSP Group acquired 35% of GHEPI S.r.l.ʻs shares in January 2022 and 70% of HAPP GmbHʼs shares in September 2023.

GHEPI S.r.l. has strength in producing parts designed for metal replacement and is expanding its business into markets where the JSP Group is not currently operating. HAPP GmbH, on the other hand, features a highly automated, manpower-saving production line, as well as in-house facilities for mold manufacturing. Following several years of collaboration since the initial investment, we believe that the synergy between injection molding technology and foamed products will further enhance the competitiveness of our products. With the acquisition of these companies, we aim to maximize the technological capabilities and sales networks of both companies to further enhance the corporate value of the JSP Group.
