Notice Regarding Dividends and the Allocation of Profits

The Annual General Meeting of JOST Werke SE held on May 7, 2026, resolved to distribute a dividend of EUR 24,585,000.00 from the retained earnings of EUR 24,585,000.00 reported in the financial statements for the 2025 fiscal year. The distribution corresponds to a dividend of EUR

1.50 per dividend-entitled share.

The dividend will be paid on May 12, 2026, via Clearstream Europe AG, Frankfurt am Main, by the custodian banks. The central paying agent is Commerzbank AG.

Since the dividend is paid in full from the tax reserve account within the meaning of Section 27 of the German Corporate Income Tax Act (KStG), the payment is made without deduction of capital gains tax or the solidarity surcharge. For domestic shareholders, the dividend is not subject to taxation.

The dividend does not give rise to any tax refund or tax credit.
