Japan’s Tsumura to acquire Yomeishu Seizo for $43.5mn

Tsumura & Co. has announced plans to acquire the mainline operations of Yomeishu Seizo Co., Ltd. delisted from the Tokyo Stock Exchange’s Prime section around June, Jiji Press reports. Investment firm Reno Co. will acquire shares in Yomeishu Seizo at JPY4,050 apiece through a tender offer running from February 25 to April 8. These shares will subsequently be transferred to Yuzawa Co., Yomeishu Seizo’s current largest shareholder, in order to take the company private.

Tsumura plans to assume full control of Yomeishu Seizo by approximately August. Meanwhile, Yuzawa will acquire non-core assets including securities, real estate and solar power facilities, separating them from the company’s mainline operations. This transaction underscores the growing trend of strategic acquisitions among Japan’s traditional medicine and health food companies.
