NOTICE UNDER SECTION 159(4) OF THE COMPANIES ACT, 2017
In pursuance of Section 159(4) of the Companies Act, 2017, members are hereby informed that in accordance with Section 159(3) of the Companies Act, 2017, the following persons have filed with Jahangir Siddiqui & Co. Ltd. (the 'Company ), notices of their intention to contest the election of directors at the Extraordinary General Meeting of the Company to be held on Tuesday, November 25, 2025, at 11:30 a.m. at IWE Auditorium, ISE Towers, 55-B, Jinnah Avenue, Blue Area, Islamabad:

Since the number of persons who have offered themselves for election is more than the number of directors fixed by the Board under Section 159 (1) of the Companies Act, 2017, therefore the election of directors will be held to declare 07 (Seven) elected directors under Section 159(5) of the Act, and the aforementioned persons would contest election as Directtirs of the Company for the next term of three years.

Procedure for E-Voting
In accordance with the Companies (Postal Ballot) Regulations 2018, for the purpose of approval of any special agenda item at the EOGM, members will be allowed to exercise their vote through postal ballot i.e., by post or e-voting, in the mariner and subject to conditions contained in the Companies (Postal Ballot) Regulations, 2018.
Details of the e-voting facility will be shared on Tuesday, November 18, 2025 through an e-mail with members of the Company.
The web adcJress, login details, and password, will be communicated to members via email. The security codes will be communicated to members through SMS from the web portal of CDC Share Registrar Services Limited (being the e-voting service provider).
Identity of the Members intending to cast vote through e-voting shall be authenticated thrciugh electronic signature or authentication for login.
Members shall cast vote online at any time from November 21, 2025 to November 24, 2025. Voting shall close on November 24, 2025, at 5:00 p.m. Once the vote on the resolution is cast by a Member, he/ she shall not be allowed to change it subsequently.
Procedure for Voting Through Postal Ballot
Pursuant to Companies (Postal Ballot) Regulations 2018 ("Regulations, 2018"), for the purpose of election of directors and for any other agenda item subject to the requirements of Section 143 and 144 of the Companies Act, 2017, members will be allowed to exercise their right of vote through postal ballot, that is voting by post, in accordance with the requirements and procedure contained in the aforesaid Regulations.
The members shall ensure that the duly filled and signed ballot paper, along with a copy of the Computerized National Identity Card (CNIC) should reach the Chairman of the meeting through the post at the Company's head office address, 20t^floor, The Centre, Plot No. 28, SB-5, Abdullah Haroon Road, Karachi, by or before November 24, 2025 during working hours or email at chairman.jsclAjs.com by or before November 24, 2025. The signature on the Ballot Paper shall match with signature on the CNIC.
Shareholders having physical shares are requested to notify immediately of any change in their address to the Company's share registrar. Whereas, CDI Account holders are requested to please contact their respective Stock Participant / Broker

Dully filled postal ballot should be sent to the Chairman of JSCL at the Head Office of the Company 20'^ Floor, The Centre, Plot No. 28, SB-5, Abdullah Haroon Road, Karachi. Alternatively, scanned copy of the Ballot may be sent to the Chairman via email at: chairman.|scI@)s com.
Copy of CNIC/ Passport No. (in case of foreigner) should be enclosed with the postal ballot form.
Postal ballot forms should reach the Chairman of JSCL within business hours by or before November 24, 2025. Any postal ballot received after this date, will not be considered for voting.
Signature on postal ballot should match with signature on CNIC/ Passport No. (in case of foreigner).
Incomplete, unsigned, incorrect, defaced, torn, mutilated, over written ballot paper will be rejected.
In case of representative of body corporate and corporation, postal ballot must be accompanied with copy of CNIC of authorized person, along with a duly attested copy of Board Resolution, Power of Attorney, or Authorization Letter in accordance with Section(s) 138 or 139 of the Companies Act, 2017, as applicable. In case of foreign body corporate etc. all documents must be attested from the Counsel General of Pakistan having jurisdiction over the member.
A member shall have such number of votes as is equal to the product of the number of voting shares held by it and the number of directors to be elected (i.e. No. of Shares held multiplied by 7).
A member may give all his votes to a single candidate or divide them between more candidates in such manner as it may choose. However, the number of votes cast must not exceed the number of votes available to the member.
