LIFT GLOBAL VENTURES PLC

Investee company, IntelliAM AI plc  - Fundraising and Proposed Admission to AIM

Lift Global Ventures plc ("Lift" or the "Company"), an investment and acquisition company focused on foundational artificial intelligence, notes the announcement made today by IntelliAM AI plc ("IntelliAM"), in which IntelliAM announced a proposed fundraising of approximately £6.3 million, together with a proposed move from the AQSE Growth Market to the AIM market of the London Stock Exchange.

Lift, on 17 November 2025, announced the acquisition of 86,956 ordinary shares in IntelliAM, representing approximately 0.45 per cent. of IntelliAM's issued share capital at the time of that announcement.

IntelliAM Fundraising and Proposed AIM Admission

Under the terms announced by IntelliAM, the proposed fundraising comprises a placing of 8,919,598 new ordinary shares at an issue price of 70 pence per share, raising approximately £6.24 million before expenses, together with the conversion of approximately £31,282 of convertible loan notes into 44,688 new ordinary shares. IntelliAM has also announced a proposed retail offer to raise up to a further £500,000, before expenses.

The proceeds are intended to support IntelliAM's strategic priorities, including accelerating the commercialisation and adoption of its AI-driven software platform, expanding its presence in the United States and strengthening the operational resources required to support growth and recurring revenues.

In conjunction with the fundraising, IntelliAM has proposed cancelling the admission of its ordinary shares to trading on the AQSE Growth Market and applying for admission to trading on AIM. Subject to the satisfaction of the relevant conditions, shareholder approval and completion of the fundraising, admission is expected to take effect on 20 November 2026.

Lift's Investment

IntelliAM applies artificial intelligence to manufacturing, where the results are measured in operating performance, and it is exactly the kind of business Lift's investment policy is designed to back. The company started life with Yorkshire AI Labs, which is how it came to Lift, and what it has become since is the work of its own team. The proposed fundraising is intended to accelerate the commercialisation of IntelliAM's platform and its expansion in the United States, and the proposed move to AIM is intended to broaden its investor base. Both are consistent with the reasons Lift acquired its holding last year, and Lift, as a shareholder, welcomes Intelliam's admission to AIM.
