init innovation in traffic systems SE Karlsruhe/Germany Security identification number 575 980 ISIN DE0005759807 Dividend Notice The Shareholders' Meeting of init innovation in traffic systems SE on 21 May 2026 resolved to use the balance sheet profit of the fiscal year 2025 amounting to EUR 17,099,863.24 as follows: Distribution of a dividend of EUR 0.80 and an additional non-recurring special dividend of EUR 0.10 in recognition of the anniversary as a listed company (total dividend EUR 0.90) per no-par value share entitled to dividend in the amount of EUR 8,959,016.70 and a profit carried forward to new account in the amount of EUR 8,140,846.54. As of 27 May 2026, the dividend will be paid out by the custodian banks via Clearstream Banking AG, generally after deduction of 25% capital gains tax and the solidarity surcharge of 5.5% (a total of 26.375%) payable on the capital gains tax and, if applicable, church tax on the capital gains tax. The paying agent is Quirin Privatbank AG. The deduction of capital gains tax, solidarity surcharge and, if applicable, church tax shall not apply to domestic shareholders who have submitted to their custodian bank a "non-assessment certificate" from the tax office responsible for them. The same applies in whole or in part to shareholders who have submitted an "exemption order" to their custodian bank, insofar as the exemption volume specified in this order has not already been used up by other income from capital assets. In the case of foreign shareholders , the withheld capital gains tax, including the solidarity surcharge, may be reduced in accordance with existing agreements between the Federal Republic of Germany and the state concerned to avoid double taxation.
