The board of Natco Pharma Ltd (NSE:NATCOPHARM, BSE:524816), an India-based pharmaceutical company focused on oncology and complex generics, has approved plans to demerge its agrochemicals business into its wholly owned subsidiary, Natco Crop Health Sciences. It also approved the incorporation of a wholly owned subsidiary in Nigeria, to be named Natco Pharma Nigeria, with an initial investment of up to $1, according to a stock exchange filing on March 24, indicating a planned entry into the West African pharmaceuticals market. In addition, the company approved the liquidation of Natco Pharma Australia Pty, its wholly owned subsidiary, as part of efforts to streamline its international operations. The demerger will separate Natco’s agrochemicals operations into a standalone platform, allowing the business to pursue independent growth and capital allocation, while the parent company continues to focus on its core pharmaceuticals segment. Under the proposed structure, shareholders will receive shares in the resulting entity on a 1:1 basis, subject to approvals from the National Company Law Tribunal (NCLT), regulators, shareholders and creditors. Natco did not disclose the financial contribution of the agrochemicals unit in the filing, nor whether Natco Crop Health Sciences will seek a separate listing following the restructuring.
