Notification of Contingent Interest in Share Capital
On 6 December 2001, Anjar International Limited entered into a £461,365.80
unsecured loan agreement with Intercede, pursuant to which Anjar International
Limited may convert all or part of the loan into ordinary shares of 25 pence
each in Intercede at 60 p per share, in aggregate being 768,943 ordinary
shares (representing 4.7 per cent. of the issued share capital at the date
hereof). The loan may only be converted within the five year period after its
draw down.
