HempAmericana, Inc. (OTC: HMPQ) entered into a settlement agreement on May 3, 2017 in connection
with a “Section 3(A)(10)” transaction with an institutional investor. Monies raised for the Company will
go to settle outstanding liabilities for legal and accounting costs, particularly related to the Company’s
Regulation A, which it recently amended and refiled with the SEC and plans to use as a mechanism going
forward to raise needed capital. As well, the Company incurred significant legal costs in relation to
negotiations that ultimately failed for the Company to take an ownership stake in an extraction machine
manufacturing company.

“Our next challenge is to place our first CBD oil extraction machine, to get it settled and producing,” said
Salvador Rosillo, CEO of HempAmericana.  “We are currently looking for warehouse locations and are
speaking with interested parties.”
