General authorization for entering into recurring transactions and transactions in the ordinary course of business between Bancolombia S.A. and Grupo Cibest S.A. ‌Given that the majority of the members of the Board of Directors of Bancolombia S.A. could potentially also serve on the Board of Directors of Grupo Cibest S.A., and that there is an overlap of executives between the two companies, potential conflicts of interest may arise and must be properly managed. This is particularly relevant considering that, on a recurring basis and as part of its ordinary course of business, Bancolombia S.A. may offer products and services to, or enter into partnerships, agreements, and contracts with, Grupo Cibest S.A. In light of the above, and in accordance with current regulations on conflicts of interest, the Management requests the General Shareholders' Meeting to: ‌Grant a general authorization in favor of the members of the Board of Directors of Bancolombia S.A. and its legal representatives to make decisions related to the execution of recurring transactions and those within the ordinary course of business with Grupo Cibest S.A. Recurring transactions shall be understood as those that fall within the ordinary course of Bancolombia S.A.'s business. These include, among others, active and passive credit operations, financial services agreements, treasury operations, the purchase and sale of securities and foreign currency, securities market transactions, leasing operations, factoring transactions, the execution of general framework agreements, adhesion or standardized contracts for financial products and services, provided their terms are in line with market conditions. Recurring transactions also include investments in personal and real property, shares, equity interests, or any other participation instruments and the management of such investments, as well as capital contributions to subsidiaries and intragroup agreements, understood as those entered into with Grupo Cibest S.A. for the operation of the contracting parties. In accordance with current regulations, the general authorization granted by the General Shareholders' Meeting to management shall cover the execution of contracts during the fiscal year in which it is granted. The duration of the authorized recurring transactions must align with market conditions and the usual terms of the Bank's ordinary course of business. Management shall maintain a record of the transactions carried out under this authorization, which will be presented to shareholders at the next ordinary meeting.
